Subscription Terms

ARBITRATION NOTICE (U.S. ONLY): • If you live in the United States or your principal place of business is in the United States, Section 18 (Arbitration & Class-Action Waiver) applies. • Except for disputes governed by your cardholder agreement and other narrow exceptions, you and Midgame, Inc. agree to resolve disputes by individual, binding arbitration—not in court—and both parties waive any right to participate in a class action or class-wide arbitration.

0. DEFINITIONS:

• “Midgame,” “we,” “our,” “us”: Midgame, Inc. • “Platform”: the Midgame mobile application and related services. • “Paid Features”: any paid digital content or digital services provided via the Platform, including Midgame Plus / Midgame+. • “Purchase Provider”: Apple App Store (iOS) or Google Play (Android) in-app purchase systems. • “Subscription”: an auto-renewing, term-based license to access Paid Features during an active billing period.

1. SCOPE & ACCEPTANCE:

• These Terms govern your purchase and use of Midgame+. • By purchasing, activating, accessing, or using Midgame+, you agree to these Terms. • If you do not agree, do not purchase or use Midgame+. • These Terms incorporate by reference the Midgame Terms of Service and Privacy Policy. If there is a conflict, these Terms control for Paid Features.

2. PROVIDER; CONTACT; LANGUAGE:

• Provider: Midgame, Inc. is the provider of Midgame+ worldwide. • Official Communications: Electronic notices may be sent by email or in-app/system notices. • Contact: support@midgame.bet (support) • legal@midgame.bet (legal) • Mailing Address: Not provided; we do not accept physical correspondence. • Contract Language: These Terms are provided in English (U.S.). Where required by law, translated versions may be presented for convenience. In the event of inconsistency, the English version governs unless local law mandates otherwise.

3. ELIGIBILITY & ACCOUNT:

• Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or use Midgame+. • Account Responsibility: You are responsible for securing your credentials and for all activity under your account. • Compliance: You must comply with all applicable laws, rules, and regulations when using Midgame+. • Accurate Information: You agree to provide and maintain accurate, current account information (e.g., email, billing context through your Purchase Provider).

4. NATURE OF SERVICE (INFORMATIONAL ONLY; NO WAGERING):

• Informational Purpose: Midgame+ provides sports analytics, alerts, notifications, and tools for informational and entertainment purposes only. • Not a Sportsbook: Midgame is not a sportsbook or bookmaker; we do not accept, facilitate, or settle wagers. • User Decisions: Any decisions you make with third-party services, including sportsbooks, are solely your responsibility and at your risk. • No Outcome Guarantees: Predictions, models, or analytics do not guarantee results; past performance does not indicate future outcomes.

5. WHERE & HOW YOU PURCHASE (IN-APP PURCHASE ONLY):

• Purchase Methods: Midgame+ is purchasable exclusively via in-app purchase through Apple App Store (iOS) and Google Play (Android). • Merchant of Record: Your Purchase Provider processes payment, issues receipts, calculates applicable taxes, and provides billing support under its terms. • Displayed Pricing: You will see the final price before purchase; pricing may vary by region, currency, platform, tax, and promotion. • Taxes & Fees: Applicable taxes and fees are determined and collected by the Purchase Provider; you are responsible for any required taxes/fees in your jurisdiction. • Currency & FX: The Purchase Provider may apply currency conversion and exchange rates based on your billing currency and location. • Billing Issues: For payment failures or duplicates, contact your Purchase Provider (Apple/Google) with your receipt.

6. SUBSCRIPTION PLANS & BILLING:

• Plans: We may offer weekly (e.g., approximately USD $17/week) and monthly (e.g., approximately USD $45/month) plans. Final pricing is shown in-app at checkout and may vary by market. • Auto-Renewal: Subscriptions automatically renew at the then-current price at the start of each new period until canceled. • Recurring Charges: You authorize the Purchase Provider to store your payment method and charge it automatically at renewal unless canceled in time per store rules. • Activation: Subscription benefits begin after payment is successfully processed by the Purchase Provider. • Receipts: Your Purchase Provider will issue a receipt; retain it for records and any billing inquiries.

7. FREE TRIALS & PROMOTIONS (IF OFFERED):

• Trials: Free trials, if offered, begin immediately upon confirmation and convert to a paid, auto-renewing subscription unless canceled before the trial ends (per store timing rules). • Promotions: Promotional or discounted pricing may apply for a limited term and will convert to standard pricing upon renewal unless canceled beforehand. • Eligibility Limits: Trials or promotions may be limited to one per account unless stated otherwise. • Revocation: We may modify, condition, or revoke promotions or trials at any time as permitted by law and store policy.

8. MANAGING & CANCELING YOUR SUBSCRIPTION:

• iOS: Manage or cancel in Settings > Apple ID > Subscriptions > Midgame. • Android: Manage or cancel in Google Play > Payments & Subscriptions > Subscriptions > Midgame. • Timing: To avoid renewal charges, cancel before renewal (generally ≥ 24 hours prior to the renewal time) per app-store rules. • Effect of Cancellation: If you cancel, benefits continue until the end of the current paid period; access then ends automatically. • Uninstall Warning: Uninstalling the app does not cancel your subscription; you must cancel via the applicable app store settings.

9. NO REFUNDS (SUBJECT TO LAW & APP-STORE POLICY):

• Final Sale: All Midgame+ purchases are final. We do not provide refunds or credits for partial periods, unused services, price changes, or promotions. • App-Store Policy Controls: Any permitted refunds are processed solely by the Purchase Provider in accordance with its policies and applicable law. • EU/UK/Norway Cooling-Off: Where a statutory 14-day right of withdrawal applies to digital services, you consent to immediate performance. Your withdrawal right may be lost once delivery begins. If a prorated refund is still required by law, it is handled by the Purchase Provider.

10. FEATURES; AVAILABILITY; SERVICE CHANGES:

• Evolving Features: Midgame+ features, content, and benefits may change, be added, or be removed. • Availability: Service may be modified, interrupted, limited, or discontinued for maintenance, technical, licensing, or legal reasons; continuous, error-free access is not guaranteed. • Material Reduction: If we materially reduce core benefits during a paid term, your remedy is to cancel before the next renewal; any refund eligibility is determined by law and the Purchase Provider.

11. PRICING CHANGES; TAXES:

• Prospective Changes: Price changes take effect at your next renewal after any required notice from the Purchase Provider or under applicable law. • Your Choice: If you do not agree to a price change, cancel before the next renewal to avoid further charges. • Taxes: Pricing may exclude or include taxes depending on your region; the Purchase Provider determines and collects the applicable taxes/fees.

12. LICENSE; PERMITTED USE:

• Personal License: Midgame+ is licensed—not sold—for your personal, non-transferable, non-assignable use during an active subscription. • No Resale/Redistribution: You may not resell, redistribute, or publicly display Paid Features or related content without our written permission. • No Sharing: Do not share your subscription, credentials, or content access with others. • Ownership: Midgame and its licensors retain all rights, title, and interest in the Platform and Paid Features.

13. USE RESTRICTIONS & COMPLIANCE:

• Lawful Use: Do not use Midgame+ for illegal, fraudulent, infringing, or abusive purposes. • Sanctions/Export Controls: You represent you are not on any restricted-party list and not located in a sanctioned jurisdiction; you will comply with export/sanctions laws. • Security & Integrity: Do not bypass, reverse engineer, decompile, scrape at scale, or otherwise tamper with security, access controls, or data flows. • Third-Party Rights: Do not misuse or reproduce third-party data in violation of applicable rights or licenses.

14. THIRD-PARTY DATA & ATTRIBUTION:

• External Sources: Scores, injuries, news, and other data may originate from third parties who retain their IP/database rights. • No Endorsement: References to third parties (leagues, teams, providers) do not imply endorsement or affiliation. • Accuracy/Latency: While we aim for reliable data, we do not warrant accuracy, timeliness, or completeness; delays and outages may occur.

15. PRIVACY & DATA:

• Policy: We collect and process personal data as described in the Midgame Privacy Policy (e.g., account details, device information, usage analytics, preferences). • Use: Data is used to deliver, secure, and improve services; personalize features; and send important notices. • Vendors: We may use service providers (e.g., analytics, crash logging) under appropriate safeguards consistent with applicable law.

16. COMMUNICATIONS:

• Notices: We may send transactional/service notices via email and in-app/system notifications regarding billing, renewals, feature changes, and policy updates. • Electronic Records: You agree that electronic communications satisfy legal “in writing” requirements.

17. DISCLAIMERS & LIMITATION OF LIABILITY:

• “AS IS/AS AVAILABLE”: Paid Features are provided without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, and non-infringement). • Limitation: To the maximum extent permitted by law, Midgame will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits/revenue/data. Midgame’s total liability for any claim relating to Paid Features will not exceed the amount you paid for the subscription period in which the claim arose. • Carve-Outs: Some jurisdictions do not allow certain exclusions or limitations. Where prohibited, the minimum limits required by law apply.

18. GOVERNING LAW; ARBITRATION & CLASS-ACTION WAIVER (U.S. ONLY):

• Governing Law: Texas law governs these Terms, without regard to conflict-of-laws rules, except where preempted by U.S. federal law. • Arbitration: Any dispute or claim arising from or relating to these Terms or Paid Features will be resolved by binding arbitration administered by JAMS (or AAA if JAMS is unavailable) under its Streamlined Rules; the Federal Arbitration Act governs enforceability. • No Class Actions: YOU AND MIDGAME, INC. AGREE TO ARBITRATE ONLY ON AN INDIVIDUAL BASIS. NO CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS OR ARBITRATIONS. • Small-Claims Option: Either party may bring qualifying claims in small-claims court. • 30-Day Opt-Out: You may opt out of arbitration within 30 days of first agreeing to these Terms by emailing legal@midgame.bet with subject “Arbitration Opt-Out,” including your account email and full name.

19. COUNTRY-SPECIFIC TERMS:

• EU/UK/Norway: A 14-day cooling-off right may apply to digital services. Because Midgame+ begins immediately, you consent to immediate performance and acknowledge your withdrawal right may be lost once delivery begins. If a prorated refund is required, it is processed by the Purchase Provider. • France/Germany/Netherlands/Belgium: Mandatory consumer protections remain unaffected to the extent required by law. • App-Store Primacy: Where app-store terms differ on billing/refunds, the app store’s policies govern those issues.

20. CHANGES TO TERMS:

• Updates: We may update these Terms to reflect changes in law, features, pricing, or operations. • Notice & Acceptance: Where required, we will provide notice (e.g., email or in-app). Continued use after the effective date constitutes acceptance. If you disagree, cancel before your next renewal.

21. ASSIGNMENT; SEVERABILITY; FORCE MAJEURE; ENTIRE AGREEMENT:

• Assignment: We may assign these Terms; you may not assign without our prior written consent. • Severability: If any provision is found unenforceable, the remaining provisions remain in effect. • Force Majeure: We are not liable for delay or failure caused by events beyond our reasonable control (e.g., outages, natural disasters, war, strikes, legal or regulatory changes). • Entire Agreement: These Terms (plus the incorporated Midgame Terms of Service and Privacy Policy) constitute the entire agreement governing Midgame+.
